1. Acceptance of terms
These Terms of Service ("Terms") form a legal agreement between you ("Customer", "you") and Softiki ("we", "us"), based in Sweden. By downloading, installing, activating, or using any Softiki product, add-in, or service (the "Product"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not install or use the Product.
You must be at least 16 years of age (or the legal age of digital consent in your jurisdiction, if higher) to accept these Terms, purchase a license, and use our products in your own name. If you are under 16, a parent or legal guardian must accept these Terms and complete any purchase on your behalf; that parent or legal guardian is responsible for supervising your use of the Product and for any data provided.
2. Definitions
"Product" means any Softiki software, add-in, application, or service, together with its updates and documentation. "Customer Content" means the data you enter or generate with the Product. "Paddle" means Paddle.com Market Ltd, the third-party provider that acts as our merchant of record, handling checkout, payments, taxes, and invoicing for our digital products. Licensing (issuing, activating, and validating license keys) is managed directly by Softiki.
3. License grant
Subject to the applicable payment and to your compliance with these Terms, Softiki grants you a worldwide, non-exclusive, non-transferable, revocable license to install and use the Product according to your chosen plan (free or paid) and the number of authorized devices or users. Licenses are issued, activated, and managed directly by Softiki through our own licensing system. The Product is licensed, not sold; Softiki retains all rights not expressly granted.
4. Use restrictions
You may not: (a) resell, sublicense, rent, or distribute the Product without written authorization; (b) reverse engineer, decompile, or disassemble the Product, except to the extent mandatorily permitted by applicable law; (c) circumvent, disable, or tamper with licensing, activation, or security mechanisms; (d) use the Product for unlawful activities or activities that infringe third-party rights; or (e) remove proprietary or copyright notices.
5. Products, plans, and payments
Softiki offers several products and services, which may be available under different plans and billing modalities (for example, free or paid plans; monthly, annual, or perpetual/lifetime licenses; one or more authorized users or devices). The plans, prices, trial periods, billing modalities, renewals, and license options applicable to each product or service are those shown on its commercial page and/or on the official checkout at the time of purchase. Payments, subscriptions, renewals, taxes, and invoicing are processed through Paddle under its own terms, and Paddle (together with its payment providers) is the operative source of truth for current pricing, taxes, and billing; Softiki does not store your card details. Any prices shown elsewhere on the website are indicative and may change without notice.
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) unless you cancel before the renewal date. Paddle will send you a renewal reminder before the charge is processed. If a renewal payment fails, Paddle may make further attempts to collect payment over a limited period before the subscription is canceled; Paddle's own communications to you are the source of truth for the exact timing.
6. Product-specific conditions and order of priority
Each product or service may have its own specific conditions — including plan, features, limits, trial, renewal, license type, support, and compatibility — shown on its commercial page and on the Paddle checkout at the time of purchase. Those product-specific conditions form part of the agreement applicable to that product or service. In the event of any conflict between these general Terms and the specific conditions shown for a product or service at the time of purchase, the product-specific conditions shall prevail. These general Terms govern the use of the website and any matters not specifically addressed by a product's or service's conditions.
7. Refunds and right of withdrawal
Refund requests are processed through Paddle within 14 days of purchase. Refunds are approved if the product does not function as described or lacks essential promised features. Paddle is the refund processor and its terms are the source of truth. If you are a consumer in the EU/EEA, you have a 14-day right of withdrawal for digital content and services; by starting the download or use of digital content with your express consent, you may waive that right under applicable law. Nothing in this clause limits the mandatory rights the law grants you as a consumer.
8. Customer responsibilities
You are solely responsible for: (a) using the Product lawfully and in line with your organization's policies; (b) complying with applicable laws, including data-protection law (such as the GDPR), regarding any third-party personal data you record in Customer Content, with an appropriate legal basis; (c) maintaining backups of your information, since Customer Content is stored locally on your device; (d) meeting the technical and system requirements stated for each product or service; (e) safeguarding your license keys and credentials; and (f) keeping your operating system and any required host applications updated and free of malware.
9. Softiki responsibilities
Softiki undertakes to: (a) make the Product available to you as described on its product page; (b) use commercially reasonable efforts to provide support and to release updates and fixes; and (c) develop the Product following secure-coding practices based on OWASP guidelines, including, where applicable, local encryption of Customer Content and signed, verified installers and updates. These commitments do not constitute a warranty of uninterrupted or error-free operation (see the disclaimer of warranties and limitation of liability clauses).
10. Disclaimer of warranties
To the maximum extent permitted by law, the Product is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Softiki does not warrant that the Product will be uninterrupted, secure, or error-free, or that it will work with every hardware or software configuration, or with environments or configurations other than those stated for each product. This disclaimer does not affect the mandatory statutory warranties available to consumers.
11. Limitation of liability
To the maximum extent permitted by law, Softiki shall not be liable for indirect, incidental, special, punitive, or consequential damages, nor for loss of profits, data, goodwill, or business interruption, arising out of or relating to the use or inability to use the Product. Softiki's total aggregate liability for any claim relating to the Product shall not exceed the amount you paid for the Product in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, such as liability for willful misconduct, gross negligence, death or personal injury caused by our negligence, or mandatory consumer rights.
12. Data, privacy, and Customer Content
Where a product stores Customer Content locally on your device, it is encrypted at rest and is not transmitted to Softiki or synced to the cloud. With respect to that content, you act as the data controller and Softiki does not access or process it on your behalf. Processing of data related to the website, support, and licensing is governed by our Privacy Policy, which we recommend you read.
13. Third-party dependencies
The products may run on or integrate with third-party software and platforms (such as operating systems and host applications) and use Paddle for payment processing. Softiki does not control those services and shall not be liable for changes, outages, failures, or decisions by those third parties that affect the Product. Your use of such third-party software and of Paddle is subject to their respective terms.
14. Intellectual property
The Product, its code, design, trademarks, and documentation are owned by Softiki and protected by intellectual property laws. These Terms transfer no ownership rights in the Product to you, other than the limited license described here. You retain ownership of your Customer Content.
15. Suspension and termination
You may stop using the Product at any time by uninstalling it. Softiki may suspend or terminate your license if you materially breach these Terms. Upon termination, you must stop using the Product and uninstall it; your Customer Content remains on your device under your control. Clauses that by their nature should survive (intellectual property, disclaimer of warranties, limitation of liability, and governing law) will remain in effect after termination.
16. Changes to the Terms
We may update these Terms from time to time. We will post the updated version on the website and change the "Last updated" date. Continued use of the Product after the changes take effect constitutes your acceptance of the updated Terms. If a change is unacceptable to you, your remedy is to stop using the Product.
17. Governing law and jurisdiction
These Terms are governed by the laws of Sweden and the European Union, without regard to conflict-of-law rules. The competent courts of Sweden shall hear any dispute, without prejudice to the mandatory rights granted to you as a consumer by the law of your country of residence.
18. Consumer rights
If you use the Product as a consumer, nothing in these Terms limits the mandatory rights granted to you by EU/EEA and local consumer-protection law. Where a clause of these Terms conflicts with those rights, the mandatory consumer rights prevail.
